If you disagree with any part of this Agreement, you must not use the Service. The Service and these Terms may be updated or revised at any time at our sole discretion. Continued use of the Service after we post changes constitutes acceptance of those changes.

2. Relationship with New Day Therapeutics
By registering or using the Service, you enter a direct patient relationship with New Day Therapeutics. This relationship is limited to use of the Service for informational and clinical purposes and does not establish a broader medical provider-patient relationship except as explicitly described during onboarding and throughout your clinical engagement.

3. Duty to Provide Accurate Information, Access, and Connectivity
You are responsible for providing truthful, complete, and accurate information to New Day Therapeutics. You are also responsible for maintaining the software, hardware, and connectivity required to use the Service, and for any charges related to such access. It is especially important that you provide accurate information to our practitioners and in your daily entries in the app. Without full honesty and transparency our ability to treat and anticipate oncoming crisis is severely impaired.

4. Medical Disclaimer and Emergency SituationsIf you are experiencing a life-threatening emergency or are at risk of suicide or serious self-harm, call 911 or your local emergency number immediately. You are ultimately responsible for your wellbeing. Content and communications via the Service are for clinical and supportive purposes and do not replace evaluation, diagnosis, or treatment by emergency services in the event of suicidal crisis. The Service is not appropriate for users under 18 years old.

5. Eligibility
New Day Therapeutics services are available only to individuals who are 18 years or older and who meet the program’s eligibility criteria, namely adults with PTSD, depression, anxiety or trauma-related conditions. Determination of eligibility requires an assessment or review by New Day Therapeutics clinicians. You are not a patient until you have been assessed by our providers and received your first batch of medication.

6. Intellectual Property and Submissions
All content, trademarks, and proprietary material on the Service are owned by New Day Therapeutics or its licensors. You may not copy, reproduce, modify, distribute, or create derivative works from this material without written permission, except for personal use related to the Service.

By submitting information or materials via the Service, you grant New Day Therapeutics a non-exclusive, royalty-free, perpetual license to use such submissions for the purpose of providing and improving the Service, subject to your rights under the Privacy Policy, below.

7. Limitation of Liability
To the fullest extent permitted by law, New Day Therapeutics and its affiliates will not be liable for any indirect, incidental, consequential, special, or exemplary damages, personal injury (including death) related to use of the Service. Actual damages are limited to the amount you paid (if any) for the Service.

The Service is provided “as is” and without warranties of any kind. Some jurisdictions do not allow the exclusion or limitation of certain damages; if so, New Day’s liability is limited to the minimum extent permitted by law.

8. Arbitration

You and New Day Therapeutics agree that any dispute, claim, or controversy arising out of or relating in any way to your use of the AI/ML-guided medical service, including but not limited to claims relating to the interpretation, scope, validity, or enforceability of this arbitration provision, or any other matter concerning these Terms and Conditions, will be resolved exclusively through final and binding arbitration.

The arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration provider. The arbitration will be held in Franklin County, Ohio unless you and New Day Therapeutics agree otherwise.

The arbitrator(s) will have exclusive authority to resolve all disputes covered by this provision, including whether a dispute is subject to arbitration.

Both parties waive their right to a jury trial and agree not to participate in any class action or class-wide arbitration related to the dispute. Each party will bear its own costs and legal fees unless the arbitrator determines otherwise.

This arbitration agreement does not prevent either party from seeking a temporary restraining order, injunction, or other equitable relief in a court of competent jurisdiction where necessary to protect its rights.

9. Indemnification
You agree to indemnify and hold harmless New Day Therapeutics and its officers, employees, and affiliates from any claims, damages, or losses resulting from your misuse of the Service, violation of these Terms, or violation of any rights of another.

11. Notice and Electronic Communication
You agree that communications from New Day Therapeutics may be provided electronically, and that electronic communications satisfy any legal requirement that such communications be in writing.

This Agreement is governed by the laws of the State of Ohio, without regard to its conflicts of law principles. Any disputes arising under this Agreement will be resolved through binding arbitration, and you waive any right to a jury trial or to participate in class actions, to the maximum extent permitted by applicable law.
